1. Premises and Definitions
These Terms and Conditions (“Terms”) govern the use of the website RIBA Gallery (hereinafter “Site”) and the acquisition of works as NFT (Non-Fungible Token).
The Site is managed by Benedetto Riba (hereinafter “Seller” or “Artist”), based in Italy, reachable at info@benedettoriba.com.
Key definitions:
- “Work”: the photographic work in its NFT digital representation purchased by the User.
- “User”: any person who accesses the Site or makes a purchase.
- “Order”: the purchase request confirmed through payment.
2. Intellectual Property and Copyright
This is the most important clause for the protection of the artwork.
2.1 Ownership of rights
All photographs, images, texts, logos and content on the Site are the exclusive property of Benedetto Riba and are protected by Italian copyright law (L. 633/1941 and subsequent amendments), European Directive 2001/29/EC and international copyright conventions (Berne Convention).
2.2 Purchase does NOT transfer copyright
The purchase of an NFT grants the buyer ownership of the digital token, but does not transfer in any way the intellectual property rights over the underlying work.
The buyer is NOT authorized to:
- Reproduce the work in any format (digital or physical)
- Use the image for commercial, advertising or editorial purposes
- Modify, adapt or create derivative works from the image
- Distribute, sublicense or make the image available to third parties
- Use the work for content generation through artificial intelligence
The buyer is authorized to:
- Resell the NFT on compatible secondary marketplaces
- Publish photographs of the work on personal social media, crediting the author (© Benedetto Riba)
2.3 Site protection
Images on the Site are protected by digital watermarks and anti-copy technical systems. Any attempt to circumvent these measures constitutes a violation of Art. 171-ter of L. 633/1941.
3. NFT Sales
3.1 What is an NFT
An NFT (Non-Fungible Token) is a unique digital certificate recorded on blockchain that attests to the authenticity and ownership of a digital artwork. Each NFT issued by RIBA Gallery represents a limited edition of the corresponding photographic work.
3.2 Digital license
Purchasing an NFT grants the buyer a non-exclusive, non-transferable license to display the digital work for personal, non-commercial purposes. The intellectual property rights over the work remain entirely with the Artist (see Section 2 above).
3.3 Compatible wallets
To purchase an NFT, the User must have a compatible cryptocurrency wallet. The Artist is not responsible for loss of access to the wallet, loss of private keys, or any other technical issue related to the User's wallet.
3.4 No right of withdrawal for digital goods
Pursuant to Art. 59.1.o of the Italian Consumer Code (D.Lgs. 206/2005), the right of withdrawal is excluded for contracts for the supply of digital content not supplied on a tangible medium if the execution has begun with the consumer's prior express consent.
3.5 Blockchain risks
The User acknowledges and accepts the inherent risks associated with blockchain technology, including but not limited to: network fee fluctuations (gas fees), technological obsolescence, smart contract vulnerabilities, and cryptocurrency value volatility. The Artist shall not be held liable for any losses resulting from such risks.
4. Limitation of Liability
4.1 Site availability
The Seller does not guarantee uninterrupted availability of the Site and is not responsible for any interruptions, technical errors or malfunctions that may prevent access to or use of the platform.
4.2 Force majeure
The Seller is not responsible for delays or non-performance due to force majeure, including but not limited to: natural disasters, pandemics, strikes, supply chain disruptions, government measures.
5. Applicable Law and Jurisdiction
These Terms are governed by Italian law. For any dispute arising from the interpretation or execution of these Terms, the consumer's court shall have jurisdiction, i.e. the court of the buyer's place of residence or domicile, as provided by Art. 66-bis of the Italian Consumer Code.
The User may also use the European Online Dispute Resolution (ODR) platform available at ec.europa.eu/consumers/odr.
6. Changes to Terms
The Seller reserves the right to modify these Terms at any time. Changes will be published on this page with an update to the date indicated above. Continued use of the Site after publication of changes constitutes acceptance of the new Terms.
